- At the end of the course students should be able to
- discuss various legal formulations, their advantages and disadvantages;
- articulate which formulations would be most advantageous to the entrepreneur in a number of hypothetical business transactions;
- discuss corporate formation, the legal requirements thereof;
- elect the jurisdiction which is most advantageous for your business formulation;
- identify significant areas where American corporate law diverges for the laws of the Czech Republic;
- formulate an opinion as to why such distinctions exist;
- evaluate the most advantageous legal entity for a hypothetical client’s business transaction. - Osnova

- This course provides a basic understanding of American law as it relates to the creation of various legal entities formed for the conduct of business transactions, both domestic and international. The course will cover the legal requirements of the states of Georgia, New York and Delaware for the formation of such entities, the ownership structure and the manner in which ownership governs the affairs of such entities. We will briefly contrast these entities with other forms of business entities to illustrate the advantages and disadvantages of the most popular legal formulations and discuss the development of the law as it relates to personhood, liability and flexibility of the corporate formulation.
