- Enforcement of Ownership Rights in Corporate Management (VVPF) This course continues the subjects oriented on corporate finance, business and financial law. The objective of the course is to extend the knowledge of Enforcement of Ownership Rights in business management. It explains development trends in legislation related to trading companies, referring to the problems of financial investment of companies. The emphasis is on principal issues, which must be solved in the period of preparation for the entry of the Czech Republic to the EU. Emphasis is placed on increased demand for ensuring legal protection of entities that enter liberal financial markets. It includes the following topic areas: shareholding and protection of rights in minority shareholders with a view to implementation of dividend policy of a firm acquisitions and mergers - changes in the position of shareholders and enforcement of their rights economic competition law and legal form of cartel law in the commercial code rights enforcement of the creditor, creditors and bankruptcy proceedings, capitalisation of creditor's receivables, protection of the creditor, enforcement of exchange and cheque rights the directives of the Council of the European Union on the company law and their implementation in the Czech Commercial Code Amendment. Credit requirements: active participation in seminars and a seminar essay. Examination: written and oral.
