Course objectives
The course broadens, deepens and puts in concrete terms students' knowledge and skills, particularly in the area of business-law contractual relationships which they were introduced to generally in the course Business Law I. Attention is paid to the issues of fulfilling obligations and legal consequences of non-fulfillment or delay, and the subsequent problem area of securing obligations, including a detailed analysis of the most relevant security instruments. The aim of the subject is to make students familiar with the individual business law contractual types and teach them use these types in an inventive way for making business-law relationships. Students are introduced to specific aspects of the individual types of contractual obligations in such a way that they should be able to consider their applicability for solving various situations occurring in company management. The subject should also help students create the most important habits for both preventative and subsequent procedure in business situations which problems of legal nature can be expected in.
Syllabus
  • Lectures are scheduled in five 4-hour blocks according to the following topics: 1.Introductory lecture, methodology, work with study blocks. Business law principles. Business-law obligation relations, general part. Treaty of commerce (topic 1) 2.Contract of purchase, contract for work, rent and leasing. Purchase of a hired object. (topics 2 – 4) 3.Contract of storage. Transit contracts. Licence contract. Sale and lease of an enterprise. Contract of mandate, Consignment contract, mediation. Deposits, loan, credit. Silent partnership. Banking businesses. (topics 5 – 8) 4.Compensatory damages. Goodwill protection. (topics 9 – 10) 5.Obligations provision. Right of lien, liability, bank guarantee, penal clause. Bill of exchange. (topics 11 – 13) A more detailed timetable is included in the study blocks.
