Course objectives
The aim of the course is to deepen a student's knowledge by acquiring the skills in the area of ​​analysis of contractual provisions contained in a commercial sales contract with an international element and in the formulation of these provisions, for the purpose of participating in business negotiations. The course further develops the knowledge and the skills acquired in the course Contracting in International Trade I.
Learning outcomes
After completing the course, the student will be able to:
- describe the system of possible rights arising out of the breach of the commercial contract with an international element, with an emphasis on the international sales contract governed by the CISG;
- describe the conditions for exercising these rights;
- formulate contractual provisions regarding the exercise of the right to performance, right to avoid the contract, right to reduce the price;
- formulate the notification about exercising these rights;
- formulate the contractual provision regarding the claim for damages, including the limitation of damages;
- formulate force majeure clause;
- formulate hardship clause;
- formulate the contractual provision containing contractual penalty;
- formulate the contractual provision regulating right to interest.

Teaching methods
The teaching will be carried out:
1) Frontal teaching method with the physical participation of students at the faculty - in the form of the introductory mandatory consultation, the aim of which is to define the area and systematics, key terms and institutes and to assign the requirements for passing the course.
2) Synchronously through three mandatory group consultations via MS Teams during the term. Within these consultations, the following will be applied: group and cooperative teaching, solving of practical problems and brainstorming. The emphasis will be given on providing feedback, not on frontal teaching.
3) Asynchronous form (individual controlled self-study) based on the materials contained in the IS and textbooks (study texts, videos, presentations with audio tracks, other interactive materials).
Assessment methods
Written assignment (processing of the practical case, analysis of the practical situation and formulation of the relevant contractual provision) and subsequent oral discussion - a maximum of 20 points can be obtained. To obtain a positive evaluation of the course, it is necessary to obtain at least 10 points.
