- Course objectives
- After completion of the module the students should be able to: a) analyse the range of competition and antitrust law regulation of the entrepreneurs activity in the national environment b) be aware of the legal barriers of unfair competition and to be able to protect legally their interests against the infringement of the rules of fair competition c) be aware of the detailed frame given to the freedom of contract by the prohibition of agreements distorting, limiting or excluding competition and to be able to avoid the conflict with the antitrust regulation d) indicate cases of abuse of dominant position, to understand the preparation and meaning of general documents for assessment of a merger by the Czech antitrust authority
- Syllabus
- The module addresses the following topics: • Competitive behaviour. Business name and its protection. General clause for unfair competition and special facts of crime. Legal regulation of advertising. Entrepreneurs and consumer protection. How to avoid unfair competition practices. The kinds and practical possibilities of protection against the unfair commercial practices. • Competition law. Agreements distorting competition – essence, types, identification. How to avoid abuse of dominant position on the market. Economic dependence and possibilities of law for its regulation, abuse of buyer power. Mergers and acquisitions of entrepreneurial entities and its competition law regulation. Practical steps in proceedings relating to the permission for the mergers and acquisitions. • Public procurement and public subsidies. Nature of public procurement. The way of assigning. Supervision over public procurement. Basics of legal regulation for public subsidies. European context in public procurement and public subsidies. • Consumer protection. Determination of a consumer and consumer contracts. Legal instruments for consumer protection, especially consumer protection pursuant to Civil Code. Remote contracting and outside business premises. Awarding damages due to a defective product. g
