Course objectives
The purpose of this course is to expose the student to the principal doctrines upon which commercial papers and securities are based. Although it focuses on commercial paper, the bank collection process, securities transfer and their issue, related aspects of securities market.
Learning outcomes
The curriculum provides a base of analytic, doctrinal, and skills approaches that enable students to study and solve advanced topics in the law of commercial papers and securities and to take advantage of attainment of complex practical issues solved from a range of perspectives (corporate law, regulation of securities markets, negotiable instruments law). Students will understand the fundamental principles of securities and commercial paper law, including the basic generally prevailing substantive and procedural rules, principles, institutions, negotiation, and processes governing the issue of negotiable instruments and other commercial papers, the creation of a commercial paper, the regulation of ongoing relations (economic and non-economic aspects), the regulation of ongoing investor - corporation relations and the regulation of capital markets. Students will develop and in class will practice by discussion and case briefing skills of good legal analysis, reasoning and problem solving. Students will also be able to perform basic securities law research. Students will be able to communicate effectively regarding legal issues orally (in class) and in writing. Students will understand the rules governing dispute resolution processes in dealing with some commercial paper cases.

Teaching methods
This is a practically oriented course and teaching is based on active student participation when solving study cases. Students are expected to think for yourself and study independently. Attendance is mandatory at all classes, as is thorough preparation. If you are not adequately prepared, you may be asked to leave, or be marked as absent, or both.
