- Course objectives
- The course is intended primarily for students whose research focus is in the field of commercial law. Within the framework of contract law, it will focus on some specifics that are not sufficiently covered in general contract law and that are more closely intertwined with commercial topics and the business world. These include, for example, the contractual aspects of acquisition agreements (e.g. plant sale agreements, share transfer agreements), shareholders' agreements (in the broader context of the overlap between contract and corporate law), vertical contracts (including the intersection of contract and cartel law), commercial agency, specifics of contractual security of construction projects and subcontracting chains (including the context of the FIDIC contractual regime).
- Learning outcomes
- Students should broaden their knowledge in the professional areas being discussed. They should learn to formulate their own professional analytical solutions to more specifically formulated professional questions and to develop their ability to present them. They will be able to solve complex cases in selected areas based on a deep understanding of the theoretical foundations and knowledge of decision-making practice.
- Syllabus
- The course will be problem-oriented, focusing on current topics addressed in professional literature and case law, also taking into account the research focus of the enrolled students. The framework of the topics will cover, for example, the areas listed above in the course objectives.

- reading of assigned texts, subsequent joint discussion of them, solving case studies, presentation of solutions, peer to peer review, group work, formulation of questions on the topic and their mutual solution among students

- participation in joint meetings, the professional level of contributions to the discussion, the quality of prepared written submissions, the depth and comprehensiveness of the arguments
