Course objectives
The objective of the course is to provide students with some practical outlook on corporate law in addition to theoretical knowledge, with a particular emphasis on: • transactions resulting in a changed value of corporate equity; • transformation of business companies; • basic tax and accounting context of these transactions. In addition to the theoretical background, the students will acquire knowledge of some practical aspects of real transactions, including the preparation of basic documentation necessary for the execution of some selected corporate transactions. Special attention will be paid to acquiring knowledge of the basic economic reasons for these transactions. The students will be able to use not only their current knowledge of corporate law and other legal disciplines, but also be able to apply practical and logical thinking that is necessary for the execution of corporate transactions.

  • • Introduction to corporate law • Transactions that effect the equity of business companies • Types of transformations of business companies, transaction structuring, tax aspects • Mergers, including cross-border mergers • De-mergers • Change of legal form • Transfer of assets to a shareholder • Squeeze out • The structuring of holding companies
