Course objectives
The course introduces students to corporate law in Austria. Students will also be familiarized with useful research tools for finding Austrian legislation and case law on corporate law online.
Syllabus
  • After a short general introduction to the structure of commercial and corporate law in Austria, students will be introduced to the two main forms of companies in Austria: non-incorporated private companies and corporate enterprises. The focus of the course will be on the limited liability company (GmbH) and the stock corporation (AG). During the presentation, a particular emphasis will be on the latest amendments introduced through the Corporate law amendment Act 2011 (Gesellschaftsrechts-Änderungsgesetz 2011), which amended, amongst others, the Stock Corporation Act (Aktiengesetz), the Limited Liability Company Act (GmbH-Gesetz) and the SE Law (SE-Gesetz). The influence of European Union law on Austrian corporate law will also be discussed.

  • Study materials will be handed over to the students before and during the course.
Teaching methods
The course will be taught through a combination of presentation and discussion.

Written exam (partly multiple choice).
