Course objectives
The aim of the course is to deepen the student's knowledge by acquiring certain defined skills in the field of analysis of contractual conditions and in case of participation in business negotiations and subsequent formulation of contractual conditions.
Learning outcomes
Student should be able:¨ - to formulate the basic terms of contract - to formulate the payment and delivery terms¨ - to formulate the conditions for reclamation -
Syllabus
  • 1. Struktura smlouvy, obchodní podmínky, formulace včleňovacích doložek. 2. Právní režim smlouvy, formulace různých režimových doložek na úrovni kolizní i materiální. 3. Právní režim řešení sporů - různé varianty a formulace doložek. 4. Vymezení předmětu smlouvy. 5. Vada a reklamace, formulace reklamačního procesu. 6. Dodací podmínky a INCOTERMS. 7. Platební podmínky, měna. 8. Nároky v případě vad plnění, formulace různých variant doložek. 9. Fixní smlouvy. 10 - 12. Vyšší moc a hardship - formulace doložek na mezinárodní úrovni.
