- Course objectives
- Exercising the Rights of Ownership in Company Management (PPVVPF) The course follows subjects dealing with company finance, commercial and financial law. The aim of the course is to broaden knowledge of exercising the ownership rights in business management. It explains tendencies of development in the legislation governing business firms in relation to the problems of companies financial investment. Main attention is given to the cardinal questions that the Czech Republic is resolving in the preparation period for EU accession. Emphasis is placed on the problems of increased requirements on securing legal protection of entities entering the liberal financial market. The course covers the following topic areas: - joint-stock enterprises and protection of rights of minority shareholders from the point of view of the realisation of company s dividend policy - corporate acquisitions and mergers - changes in the position of shareholders and exercise of their shareholder rights - economic competition law and cartel law regulations in the Commercial Code - enforcement of creditor rights, creditors and bankruptcy proceedings, distraint, revenuisation of creditor s receivables, legal protection of creditor, exercise of the law of exchange and law of cheque - guidelines of the EU Council on business companies law and their implementation into the amended Commercial Code of the Czech Republic. Credit requirements: active participation in seminars and a seminar essay. Examination: written and oral.
