Course objectives
* COMMERCIAL LAW FOR PUBLIC ADMINISTRATION: • This module is supposed to guide the participants to understand essential concepts of Commercial Law in its broad sense. Special attention will be devoted to the commercial law aspects of public law entities and their involving into entrepreneur activities. The problems of creating corporate will in the public entities and practical ways of its manifestation will be underlined (commercial legal act on behalf of a municipality, region, or other public law entity and conditions of its binding effect). • Basic features of commercial obligations will be part of the education, i.e. closing contracts, security, performance, liability. The participants will be able to understand the substance of the contract law and of ways how to close a contract and what are the legal consequences thereof. • Special attention will be given to so called public law contracts and to their comparison with private law agreements. • Teaching will not be restricted only to conveying isolated facts in individual sub-disciplines but it will result in understanding mutual interdependences and mastering essential skills for practical application of the knowledge acquired in particular decision-making situations (practising model situations, solving case studies, etc.). • Public procurement regulation will be discussed and solving of practical problems and possibilities how to avoid violation of the law will be offered. • The very basics of competition law will be presented as well, and the role of municipalities, regions and other public law entities in protection of competition (both unfair competition and antitrust law) will be made clear. * LABOUR LAW FOR PUBLIC ADMINISTRATION: The module is focused on the characteristic of employment relationships in the public administration and on the questions necessary for managing the personal processes in the public administration. This module will enable students to acquire knowledge and skills in the following areas: • legal basics of labour law in the context of EC Law with the point of view of the specific regulation of an employment relationship in the public administration • an analysis of methods and instruments for making and developing staff • a system of remuneration * ENVIRONMENTAL LAW: The aim of this module is to understand the principles of environmental legislation in the field of environmental protection. It provides basic orientation in legal requirements, standards and limitations to natural resources exploitation set by the law. At the same time, the EL module is focused on correct application of these legal rules in decision-making procedures carried out by public authorities. * LEGAL RELATIONS TO REAL PROPERTY: The module is focused on one part of civil law, namely, legal relations to real property. It follows the traditional classification of property into real and personal, adding the distinction between real property which must be and need not be registered in the cadastre and examining particular rights relating to real property. The aim of the module consists in providing knowledge of legal relations to real property which can be used in administrative and legal activities.

  • * COMMERCIAL LAW FOR PUBLIC ADMINISTRATION: The module addresses the basics of following topics: • Business entities. Classification of business entities and differences among them (economic, organizational and legal). Appropriateness of individual forms from the different points of view. General regulation of business associations. • Individual kinds of business companies and associations. Basic characteristic features of personal and stock corporations. Internal relations in business companies. Municipalities, regions and other public law entities as members of a business company. • Law of contract. The art of contracting. Who can make a contract. Types of contractors. Organization of contracting, psychological equipment of a contractor. Pre-contracting negotiations between partners. Security, performance, liability. Municipalities, regions and other public law entities as a part to commercial agreements. Coordination a subordination public law contracts and their comparison with private law contracts. • Types of contracts and innominate contracts. How to find out or choose an appropriate type of a contract. Advantages and risks of contracting by means of an innominate contract. Making business contracts and public tenders. • Competitive behaviour. Business name and its protection. General clause for unfair competition. How to avoid unfair competition practices. The kinds and practical possibilities of protection against the unfair commercial practices. • Antitrust law. Agreements distorting competition – essence, types, identification. How to avoid abuse of dominant position on the market. Economic dependence and possibilities of law for its regulation, abuse of buyer power. Mergers and acquisitions of entrepreneurial entities and its competition law regulation. • Public procurement and public subsidies. Nature of public procurement. The way of assigning. Supervision over public procurement. Basics of legal regulation for public subsidies. European context in public procurement and public subsidies. * LABOUR LAW FOR PUBLIC ADMINISTRATION: The module addresses following topics: • labour law, subject-matter of legislation, basic sources, European law context • labour instruments for creating and developing the staff o recruitment of the employees o individual kinds of the labour law relations, their character and using; the specific features of employment relationships in the public administration o content of the employment relationship with the point of view of the specific conditions in the public administration o change and termination of the employment relationship o respect for the principles of equal treatment and prohibition of discrimination • labour instruments for managing the staff o internal rules of law (employment guidelines, internal regulations, instructions) o system of remuneration * ENVIRONMENTAL LAW: The module addresses the following topics: • Environmental protection in the Czech legal system. The position of environmental law in the Czech legal system and related problems. Sources of environmental law. • Public administration and other persons and their role in environmental law. System of public authorities, forms of their activities. Their competence and powers. The role of the public in environmental protection. • Conflict of interests in a particular area. Environmental requirements set by the law that must be met by investors in the procedures under the Construction Act. Aspects of soil, water, air and nature protection, cultural heritage protection. Practical implication. • Legal limitations to real-estate use. • Environmental impact assessment. The procedure for assessing the impact of given projects and plans to the environment. Practical implication. • Integrated prevention and pollution control. Delimitation of the facilities under the IPPC permit system, procedure, legal requirements, inspections. Practical implication. • Legal regulation of air protection, water protection, nature protection, agricultural and forest land protection and use. Direct and economic regulatory instruments. The basic legal duties of individual persons. Permitting processes and enforcement. Case studies. • Legal regulation of waste disposal and requirements for product packing. Basic legal duties of individual persons involved in the production and disposal of waste. Administrative and economic tools and sanctions. Import and export of waste. Case studies. • Liability in the environmental law; criminal liability, liability for damage and ecological damage, liability for the breach of the law, enforcement. Case studies of claims and disputes. Procedural issues. • The environmental protection in Constitutional law. The right to a favourable environment and ways how to enforce it. Case studies. * LEGAL RELATIONS TO REAL PROPERTY: A. Civil law a) Rights in rem aa) Owner’s right (co-ownership) ab) Legal interests (easement, mortgage, right to pre-emption) b) Obligations B.
