- Course objectives
- The course provides knowledge of the basics of business law theory, with the focus on understanding the meaning of the basic institutes of business law. Emphasis is placed on the knowledge of the organisational and legal forms of enterprise, establishment, changes and cessation of enterprises. Attention is also paid to competition law, to the selected questions of contractual relationships of business law entities within the framework of their entrepreneurial activities, and to solving trade disputes. The course is subsequent to the subject Introduction to Law. It aims to prepare students so that they master the basic orientation in business-law regulations and in the challenging business environment at the same time. Examination: written and oral.

- 1. Concept of Commercial Law and its relation to Civil Law. Development of Commercial Law, sources of Commercial Law. General conditions of business activity and its entities. Trade company. Legal act in business activity. Commercial Register. 2. Commercial obligations (survey) 3. Contractual obligations. Liability obligations. 4. Generally about companies. 5. Joint stock company. (profile and formation, rights and duties of shareholders, bodies of joint stock company, accountancy of joint stock company) 6. Joint stock company (dissolution and cessation of existence, duty to report, takeover bid). Merger of business associations. Concern Law. 7. Limited liability company (profile and formation of limited liability company, conditions of formation, members ,organization of the company, changes in registered capital, dissolution and cessation of the company). 8. Unlimited liability company. Limited partnership company. 9. Co-operatives.Other legal entities (communities and legal entities established by communities). Associations without legal subjectivity. 10. Business competition. Concept and function of competition law.Unfair competition. Right against restriction of competition. 11. Commercial justice system. - Assessment methods (in Czech)
- Kurz je ukončen písemnou zkouškou. Podmínkou ukončení výuky a účasti na zkoušce je aktivní účast na cvičeních evidovaná na základě úkolů zadaných, vypracovaných a uložených v době konání příslušného cvičení do ISu (Studijní materiály předmětu PPOPRI). Absenci je nutno omluvit a nahradit vypracováním úkolu mimo cvičení a navíc účastí na cvičení v posledním týdnu. Vzhledem k omezenému počtu míst v počítačové učebně není možné nahrazovat neúčast účastí na jiném cvičení bez domluvy s vyučujícím. Neúčast na prvním cvičení (Úvodní cvičení) není třeba nahrazovat, je však třeba si v takovém případě osvojit práci s informačními systémy jiným způsobem.
