Course objectives
Commercial Law II focuses on corporate law. Within the three-semester basic course of Commercial law, students acquaint themselves with the typical legal forms through which a business is operated in practice. The subject of interest is mainly business companies. The aim is to understand the fundamentals of business corporations, to understand the system of their internal organization, to be able to solve specific problems relevant to the shareholders/partners, members of bodies, creditors and investors.
Learning outcomes
The student will be able to: - understand teh economic and legal nature of business companies - to distinguish various types of business companiesand their advantages and disadvantages - understand the relevant legal limits and possibilities of contractual arrangements - understand internal mechanisms in business companies - identify and address the basic problem situations from the perspective of shareholders, board members, creditors and investors.

Teaching methods
Learning is made in the form of lecture (once a week) and seminaries (once a week). The lectures have cognitive function, seminaries are reserved for practise of ability to apply the legal regulation on the concrete cases. The legal regulation is discussed, the cases are solved.
Assessment methods
The course is completed by credit, the conditions for granting credit are determined by the teacher who conducts the seminars. The prerequisite for the award of credit is active participation in the seminars and always at least one written test, usually two tests are included (one in the middle of the semester, the other at the end of the semester).
